The Annual General Meeting (AGM) of the Cape Film Commission (CFC) will take place on Friday 26 August at 10am at the Upper East Side Hotel conference rooms in Woodstock.
At the AGM CFC CEO Denis Lillie will make a presentation of on the CFC activities for the coming financial year.
During the review of the 2010 AGM to allow for the planning of the 2011 AGM, several irregularities were discovered in the procedures followed in relation to the 2010 AGM. These include:
•The acceptance of members to the CFC did not follow due process in line with the Articles of Association.
•Certain actions of the previous Board of Directors led to due process not being followed.
Having taken legal advice on the matter and having taken into account the requirements of the new Companies Act, the board will therefore now be structured as follows:
• Chair (independent, free from conflict and a non-industry member)
• CEO
• Province
• City
• CFC Accountant
• CFC Attorney
The above is in line with the new Companies Act which only requires three Directors. However, to ensure improved compliance within Corporate Governance it was felt that the above composition would allow the CFC more flexibility as it develops the required Memorandum of Incorporation which is required by the Companies Act. The Memorandum of Incorporation will replace the current Articles of Association. The above board has been adopted as an interim board while the new Memorandum is developed.
To ensure that the CFC has input from industry in the direction of the CFC moving forward, a cluster of advisory forums will be established. These forums will be created by inviting relevant members of industry and stakeholders to participate. This will ensure that all aspects of industry in the Western Cape will have a voice and will further ensure that the CFC is addressing its mandated role to its funders and to industry.
This will also ensure further transparency, fairness and lead to greater creation of economic development of the industry, greater sustainability in the Western Cape for filmmakers and greater transformation within the industry, all as the CFC mandated role.
The CFC is currently reviewing its process of membership application. In conjunction with Province and City this will lead to improved regulation of the industry and allow for a fairer and a more equitable platform for growth. This process will also lead to stronger ties between the CFC and the Cape Town Film Permit Office as the regulation of CFC membership will ensure that the Permit process is aligned to its application process.
The CFC continues to maintain its position as the official representative of the Film Industry within the Western Cape endorsed by the full support of the Provincial Government of the Western Cape and The City of Cape Town.
